The 45-Day Problem

A 1031 exchange lets an investor defer capital gains tax by reinvesting the proceeds of a sale into like-kind property. The mechanics are well known. What catches people out is the timing: you have 45 days from closing to formally identify replacement property, and 180 days to close. Those clocks run whether or not the right property is available.

That deadline is the entire problem. Most failed exchanges do not fail on strategy — they fail because nothing suitable could be identified in time, and the investor is left choosing between a compromised asset and a large tax bill. The practical defence is starting the replacement search before the relinquished property closes, and having access to property that is not yet publicly marketed.
